Item 1.01 Entry into a Material Definitive Agreement

 

On June 16, 2020, Red Robin Gourmet Burgers, Inc. (the “Company”) entered into a distribution agreement (the “Distribution Agreement”) with J.P. Morgan Securities LLC, as agent (“J.P. Morgan”), pursuant to which the Company may offer and sell, from time to time, through J.P. Morgan, shares of the Company’s common stock, par value $0.001 per share, having an aggregate offering price of up to $40.0 million (the “Shares”).

 

The Company is not obligated to sell any Shares under the Distribution Agreement. Subject to the terms and conditions of the Distribution Agreement, J.P. Morgan will use commercially reasonable efforts, consistent with its normal trading and sales practices, to sell Shares from time to time based upon the Company’s instructions, including any price, time or size limits or other customary parameters or conditions specified by the Company. Under the Distribution Agreement, J.P. Morgan may sell Shares by any method permitted by law deemed to be an “at the market offering” under Rule 415(a)(4) under the Securities Act of 1933, as amended, or by means of such other sales of the Shares on behalf of the Company as agreed by the Company and J.P. Morgan in writing. The Company will pay J.P. Morgan a commission of up to 3% of the gross sales price from each sale of Shares and provide J.P. Morgan with customary indemnification and contribution rights. The Distribution Agreement may be terminated by J.P. Morgan or the Company at any time upon notice to the other party.

 

The issuance and sale, if any, of the Shares by the Company under the Distribution Agreement will be made pursuant to the Company’s effective registration statement on Form S-3 (Registration Statement No. 333-238806) (the “Registration Statement”), filed with the U.S. Securities and Exchange Commission (the “SEC”) on May 29, 2020 and declared effective on June 10, 2020. The offering is described in the Company’s Prospectus dated June 10, 2020, as supplemented by a Prospectus Supplement dated June 16, 2020, as filed with the SEC on June 16, 2020.

 

The foregoing description of the Distribution Agreement does not purport to be complete and is qualified in its entirety by reference to the full text of the Distribution Agreement, a copy of which is filed as Exhibit 1.1 to this Current Report on Form 8-K and is incorporated herein by reference. Item 7.01 Regulation FD Disclosure

 

On June 16, 2020, the Company issued a press release announcing entry into the Distribution Agreement, pursuant to which the Company may offer and sell, from time to time, through J.P. Morgan, Shares having an aggregate offering price of up to $40.0 million. A copy of the press release is attached as Exhibit 99.1.
