ITEM 5.07 Submission of Matters to a Vote of Security Holders
The Company held its annual stockholders meeting on May 23, 2024. Of the 15,603,773 shares of common stock issued and outstanding as of the record date, 12,606,550 shares of common stock (approximately 80.79%) were present or represented by proxy at the annual meeting. The Company's stockholders elected all of the directors nominated by the Company's board of directors; approved, on an advisory basis, the compensation of the Company's named executive officers; approved the Company’s 2024 Performance Incentive Plan; and ratified the appointment of Deloitte & Touche LLP as the Company's independent registered public accounting firm for the 2024 fiscal year.
