17. Related Party Transactions The former president and majority owner of one of the Company's former franchises has served on the Company's board of directors since 2009. He has announced his retirement from the board effective as of the date of the Company's 2013 annual meeting of stockholders. The Company purchased 13 Red Robin® restaurants in Washington from him in 2006. The board member is a principal of and holds, directly or indirectly, interests of between 45% and 100% in each of three privately-held entities that hold the leases for three of the Washington restaurants that the Company acquired in 2006. These leases were assumed by the Company in connection with the acquisition. Under these leases, the Company recognized rent and other related payments in the amounts of $1.2 million, $1.1 million and $1.1 million for the fiscal years 2012, 2011, 2010, respectively. Future minimum lease commitments under these leases are $4.1 million at the end of fiscal 2012. |
